Part I — Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") are a binding agreement between you and Metamentum LLC ("metamentum," "we," "us," or "our") governing your access to and use of the metamentum website, the metamentum application (currently reachable at app.metamentum.com), and related services (together, the "Service").
By creating an account, checking the "I agree to the Terms of Service and Privacy Policy" box at signup, or otherwise using the Service, you agree to these Terms and the Privacy Policy in Part II. If you are creating an account, you separately acknowledge the health and fitness disclosures in Section 5 through a distinct checkbox — agreeing to these Terms alone does not substitute for that acknowledgment. We keep a dated, versioned record of your acceptance of both.
If you do not agree, do not use the Service.
2. The Service
metamentum is a wellness and fitness-coaching platform. The marketing site (metamentum.com) describes our offerings to the public; the application (currently at app.metamentum.com, the "App") is where an account holder creates / follows / logs workouts, tracks health and fitness metrics, sets goals, and, if applicable, works with a Coach. These Terms govern the App and any account you hold; the marketing site's use is governed by the same Terms.
An account may hold one or more of the following roles at the same time:
User — a free account with no subscription; can browse the public workout/exercise library and maintain a basic profile.
Client — a paid, subscribing account with full access to workout tracking, goals, metrics, Vision board, and (optionally) a Coach relationship.
Coach — an account authorized to author public content and manage a roster of Clients who have an active coaching relationship with them.
Admin — an account with administrative access to system-wide taxonomy and account oversight; not customer-facing.
One natural person may hold multiple roles on a single account.
3. Eligibility & Accounts
You must be at least 18 years old to create an account. metamentum does not offer accounts — including a free User account, a Coach-invited or comped account, or any other role — to anyone under 18; there is no parent or guardian consent mechanism for a minor accountholder.
You agree to provide accurate information (including the biometric information requested at signup and afterward), to keep your login credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity under your account. Each person may maintain only one account; the multiple-role mechanism in Section 2 is how one person can be a Client, Coach, and/or Admin without opening separate accounts.
4. Subscriptions, Billing, Trials & Cancellation
Client access is a paid subscription. The price is $4.99 per month, billed quarterly ($14.97 per quarter), processed through our payment processor, Stripe. Prices may change on notice as described in Section 14.
Free trial. A new Client subscription includes a 30-day free trial. You will not be charged during the trial. Unless you cancel before the trial ends, your subscription automatically converts to a paid subscription and you will be billed starting on day 30. You may cancel at any time during the trial at no charge.
Comped and sponsored accounts. A Coach or Admin may extend a free period to a specific account (for example, family, friends, or a sponsored Client) using the same trial mechanism described above, for whatever duration they set. A comped account is not billed while its free period is active and converts to normal billing afterward unless extended, changed, or canceled.
Renewal and cancellation. Subscriptions renew automatically at the end of each billing period unless canceled before renewal. You can cancel anytime from Profile → Plan & Billing; cancellation takes effect at the end of the then-current billing period, and you retain Client access through that period's end. Refund policy is that there are no refunds for partial periods, or pro-rated refunds.
Non-payment. If a payment fails and is not cured, we may suspend or downgrade Client-tier access until the account is brought current, as described in Section 11.
5. Health, Fitness & Medical Disclaimer; Assumption of Risk
metamentum is not a medical provider, and nothing in the Service is medical advice. The Service lets you log workouts, biometric data (such as body weight, body fat percentage, blood pressure, heart rate, and similar measures), and wellness goals, and lets a Coach assign programming and view data you choose to share. This is fitness and wellness coaching, not diagnosis, treatment, or medical supervision of any condition.
Consult a physician before beginning any exercise program, especially if you have — or have reason to believe you may have — a heart condition, are pregnant, or have any condition that exercise could worsen. You are solely responsible for determining whether an activity is appropriate for you.
Assumption of risk. Physical exercise carries an inherent risk of injury. By using the Service, you voluntarily assume all risks associated with exercise and physical activity, whether or not following programming from a Coach or the Service.
6. Coaches & the Coaching Relationship
You are not assigned a Coach when you sign up. A coaching relationship begins only when a Coach invites you and you accept. A Client may end a coaching relationship at any time from Profile → Coaching without losing Client status, tracked data, or billing.
A Coach may view only the data you choose to share with them (Section 9) and may assign workouts and comment on your activity. Where you have an in-person or off-platform training arrangement with your Coach, that arrangement is separate from, and not governed by, your subscription to the Service.
7. Your Content & the License You Grant Us
"Your Content" means anything you upload or create through the Service under your own account — workout logs, goals, biometric entries, Vision board images and captions, private exercises/workouts you author, comments, and similar material.
You retain ownership of Your Content. You grant metamentum a non-exclusive, worldwide, royalty-free license to host, store, and display Your Content back to you and to anyone you affirmatively choose to share it with (for example, a Coach, per Section 9), solely to operate and improve the Service. We do not sell Your Content, and we do not use your Vision board images or private health data to train models or for advertising.
Vision board images are always private — they are never made public, never shown to a Coach, and never eligible for the public content library described in Section 10.
Coach-authored content (public workouts, exercises, and metrics a Coach creates) is public by design, distinct from a Client's own private content, and is owned by the authoring Coach subject to the license above.
8. Acceptable Use & Content Standards
You agree not to: (a) use the Service for any unlawful purpose; (b) upload content that is false, defamatory, infringing, inappropriate, or that impersonates another person; (c) attempt to access another account or data you have not been granted access to; (d) upload medically dangerous or harmful workout/nutrition content to the public library; (e) interfere with or attempt to disrupt the Service's operation or security; or (f) use automated means to scrape or bulk-extract data from the Service.
We may review, and may remove, public content that violates these standards.
9. Data Sharing Between Clients and Coaches
Sharing your data with a Coach is opt-in and granular. You control, per Coach and per goal, which goals (and their associated metric trend) a given Coach can see, and you separately control a single "viewable by this Coach" toggle for your assigned workouts and logged sessions. Nothing else about your account — including goals or metrics you have not shared — is visible to any Coach.
Sharing takes effect immediately when you turn it on, and access is revoked immediately when you turn it off or end the Coach relationship — a Coach never retains access after either action. Ending a Coach relationship never deletes or restricts your own historical data; it only affects whether that Coach's own private programming can continue to progress for you going forward, as described in Section 6.
A Coach-Client relationship may also involve documents (such as a training contract or assessment) exchanged directly between you and your Coach; those documents are part of your working relationship with that Coach and are not covered by the sharing controls described above.
10. Intellectual Property
The Service, including its software, design, and the "metamentum" name and logo, is owned by Metamentum LLC and protected by intellectual property laws. Except for Your Content (Section 7) and any public content properly licensed to us by a Coach, nothing in these Terms grants you any right to metamentum's trademarks, branding, or underlying software.
The public workout/exercise library consists of content Coaches have chosen to make public; using it to follow a program does not transfer ownership of that content to you, though you may create your own modified copy under your own account (a "Save as My Own Workout"-style action), which becomes Your Content once created.
11. Termination & Suspension
You may stop using the Service and delete your account at any time from Profile → Privacy & Data. We may suspend or terminate your account if you violate these Terms, if required by law, or — for a paid subscription — if payment cannot be collected after a reasonable cure period.
Termination does not entitle you to a refund for any period already paid, except as described in Section 4 or required by law. Sections that by their nature should survive termination (including Sections 5, 7, 12, 13, and 14) survive.
12. Disclaimers; Limitation of Liability; Indemnification
Disclaimer of warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CALCULATOR, ESTIMATE, OR RECOMMENDATION (INCLUDING ANY 1RM, MACRO, OR SIMILAR FORMULA) IS ACCURATE OR SUITABLE FOR YOUR SITUATION.
Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, METAMENTUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY ARISING FROM YOUR USE OF ANY WORKOUT, PROGRAM, OR COACHING ADVICE OBTAINED THROUGH THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT OF YOUR LAST SUBSCRIPTION PAYMENT.
Indemnification. You agree to indemnify and hold metamentum harmless from claims arising out of your breach of these Terms, your Content, or your use of the Service, including any injury arising from exercise you performed.
13. Dispute Resolution & Governing Law
These Terms are governed by the laws of the United States of America, without regard to conflict-of-laws rules.
14. General Provisions
Changes to these Terms. We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date and, for material changes, may provide additional notice (such as an email or in-app banner) before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
Entire agreement; severability. These Terms, together with the Privacy Policy in Part II, are the entire agreement between you and metamentum regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect.
Contact. Questions about these Terms can be sent to support@metamentum.com.
Part II — Privacy Policy
1. Overview & Scope
This Privacy Policy explains how Metamentum LLC ("metamentum," "we," "us," or "our") collects, uses, shares, and protects information when you use metamentum.com or the metamentum application (currently at app.metamentum.com, the "App") and create or maintain an account. It applies to Users, Clients, Coaches, and Admins.
2. Information We Collect
Account & identity information: name, email address, password (stored as a salted hash, never in plain text), timezone, unit preference, and — for a Client — postal code and country (collected today but not yet used for anything; reserved for possible future coach-search features).
Biometric & health information: age, sex (collected only to improve the accuracy of biometric calculations, such as body-fat and calorie estimates — kept separate from any gender/identity field), height, body weight, body fat percentage, blood pressure, resting heart rate, heart-rate variability, cholesterol, blood glucose, exercise/workout logs (sets, reps, weight, distance, time, pace), perceived-exertion (RPE) ratings, daily mood/status check-ins, goals, and any other metric you choose to log. Some of these are typed in by you; others are calculated automatically from workouts you log (for example, an estimated one-rep max derived from a logged set).
Content you create: Vision board images and captions (always private — see Section 4), private exercises/workouts you author, comments, and documents exchanged with a Coach (such as a training contract or assessment).
Payment information: subscription plan, billing status, and payment history. We do not store your full card number — payment card details are collected and processed directly by our payment processor, Stripe, under its own privacy practices.
Usage & device information: log-in timestamps, session activity, and standard technical data (IP address, browser/device type) collected for security and to keep the Service working (see Section 7).
3. How We Use Your Information
We use the information above to: provide the Service (track your workouts/metrics/goals, run calculators, display your dashboard); operate your subscription and process billing through Stripe; enable the Coach-sharing features described in Section 4, only for data you affirmatively choose to share; secure your account (fraud/abuse prevention, audit logging of sensitive actions); communicate with you about your account, billing, and — where you've agreed — product updates; and improve and troubleshoot the Service. We do not use your health data, biometric data, or Vision board content for advertising, and we do not sell your personal information.
4. How We Share Information
With a Coach you choose: if you have a Coach relationship, you control — per Coach, per goal — which goals (and the underlying metric trend) that Coach can see, plus a single toggle for whether that Coach can see your assigned workouts and logged sessions. Nothing else on your account is visible to a Coach. Sharing you enable takes effect immediately; disabling or ending the Coach relationship, revokes that Coach's access immediately, with no residual copy retained on their side.
With service providers who help us run the Service, under contracts that limit their use of your information to that purpose: Stripe (payment processing), Render (application hosting and data storage), and Loops (account and Coach-invite emails).
For legal reasons, if required to comply with a subpoena, court order, or similar legal process, or to protect the rights, property, or safety of metamentum, our users, or the public.
In a business transfer, if metamentum is involved in a merger, acquisition, or sale of assets, subject to this Policy continuing to apply to your information or you being notified of any material change.
We do not sell your personal information to third parties, and we do not share your health or biometric data with advertisers.
5. Health Data & Our Compliance Posture
metamentum is a wellness and fitness-coaching platform, not a healthcare provider, health plan, or healthcare clearinghouse, and metamentum is not currently a HIPAA-covered entity. The health and biometric information you log (body weight, blood pressure, and similar measures) is nonetheless treated with the security practices described in Section 7, and our data model is deliberately structured so that a future upgrade to clinical-grade (e.g., HIPAA-level) handling would be a policy and infrastructure change, not a rebuild.
6. Data Retention
We retain your account and activity data for as long as your account is active, so that your workout history, goals, and metrics remain available to you. If you delete your account (Section 8), we delete or de-identify your personal information within 30 days, except where we are required to retain certain records (for example, billing records) for legal, tax, or accounting purposes.
7. Security Measures
We use TLS encryption in transit and encryption at rest for our database. Passwords are hashed with a modern, salted algorithm (Argon2) — we never store or can view your plaintext password. Sessions use secure, HttpOnly cookies with CSRF protection, and authentication endpoints are rate-limited. Access to your data is scoped at the account level, and a Coach's access to any Client's data is always resolved through the specific sharing grant described in Section 4 — never a blanket role check — with access revoked immediately when a grant or relationship ends. Sensitive actions are recorded in a dedicated audit log; we do not log the raw content of your health data itself, only that an action occurred. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
8. Your Rights & Choices
From Profile → Privacy & Data, you can: export a copy of your data, delete your account (which removes your personal information subject to Section 6), and review/manage the Coach-sharing controls described in Section 4. You can also update or correct your account and profile information at any time.
9. Cookies & Similar Technologies
We use a session cookie to keep you signed in across the marketing site and the App (scoped so a single login works across both).
10. Children's Privacy
The Service is not directed to children. Our minimum age to create an account is 18 (Part I, Section 3), and we do not knowingly collect personal information from anyone under 18. If we learn we have collected information from someone under 18, we will delete their account and the associated information.
11. International Users & Data Transfers
metamentum is operated from and its data is stored in the United States of America. If you access the Service from another country, your information may be transferred to and processed outside of the USA.
12. Changes to This Policy
We may update this Privacy Policy from time to time. We will post the updated Policy with a new "Last Updated" date and, for material changes, and may provide additional notice (such as an email or in-app banner) before they take effect.
13. Contact Us
Questions about this Privacy Policy, or requests to exercise your privacy rights, can be sent to support@metamentum.com.
